In plain language

  • These terms are the agreement between you and «Registered legal entity name, e.g. Pyor Software SAS / Pyor Software, Inc.» for using Pyor and the website at pyor.review.
  • Your code stays yours. Pyor runs on your machine and talks straight to GitHub — we don’t host your source, diffs, review notes, or your GitHub token, and we claim no licence over any of it.
  • Personal use is free. Teams is $4.99 per active user / month, billed through Stripe after a 14-day free trial — cancel anytime.
  • Pyor is provided “as is” and our liability is capped — but nothing here removes the consumer rights you can’t legally waive (e.g. under EU/French or Québec law).

1. Acceptance of these terms

These Terms of Service (the “Terms”) form a binding agreement between you and «Registered legal entity name, e.g. Pyor Software SAS / Pyor Software, Inc.» (“Pyor”, “we”, “us”, “our”) and govern your access to and use of the Pyor desktop and web applications, the website at pyor.review, and any related services (together, the “Service”). By downloading, installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you accept these Terms on behalf of a company or other organisation (for example, when you set up or join a Teams workspace), you represent that you have authority to bind that organisation, and “you” refers to that organisation. These Terms incorporate by reference our Acceptable Use Policy, our Privacy Policy, and our Refunds & Cancellation Policy.

2. The Service & your licence

Pyor is a fast, native and web tool for reviewing GitHub pull requests on macOS, Windows, and Linux. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to install and use the Service for its intended purpose — reviewing pull requests with your own GitHub account.

All right, title, and interest in and to the Service — including the applications, the website, our name, logo, and brand, and all related intellectual property — remain ours or our licensors’. These Terms grant you no rights other than the licence expressly set out above. You may not, except where applicable law expressly permits despite this restriction:

  • copy, modify, translate, or create derivative works of the Service, or reverse engineer, decompile, or disassemble it;
  • rent, lease, lend, sell, sublicense, or otherwise make the Service available to a third party, or use it to provide a commercial review service to others outside your own team;
  • remove or obscure any proprietary notices, or use our trademarks without our prior written permission; or
  • circumvent or interfere with licensing, security, or rate-limiting controls in the Service or in GitHub.

We may release updates, and some features may change, be added, or be removed over time. We may make updates available automatically to keep the Service secure and working.

3. Accounts & eligibility

You may need a Pyor account for the website, billing, or Teams features. When you create one, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for activity under your account.

  • Age. You must be at least 16 years old (or the minimum age of digital consent where you live, if higher) to use the Service. The Service is intended for professional and adult use and is not directed to children.
  • Your credentials. You are responsible for safeguarding your Pyor login and, critically, your GitHub credentials and personal access token. Pyor stores your GitHub token locally on your device (in your operating system’s secure keychain on desktop, or your browser’s localStorage on the web build) — it is never transmitted to us. Keep your token scoped to what you need, and revoke it in GitHub if a device is lost or compromised.
  • Security. Notify us at security@pyor.review if you suspect unauthorised use of your account.

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is part of these Terms. In short: use the Service lawfully, don’t abuse or attempt to break it, don’t use it to infringe others’ rights, and respect GitHub’s terms and API rate limits. We may suspend or limit access to protect the Service, our users, or third parties, or to comply with the law.

5. Plans, billing & trials

Personal use is free. Individual use of Pyor for your own pull request reviews is offered at no charge, and we may change what the free plan includes over time.

Teams. The Teams plan is $4.99 per active user / month, billed in advance through our payment processor, Stripe. By starting a paid plan you authorise us and Stripe to charge your payment method for the applicable fees.

  • Active users. Teams is priced per active user per month. We count active users for each billing period and bill accordingly; adding seats during a period may result in a pro-rated charge.
  • Taxes. Prices are in USD and exclude any applicable VAT/GST/sales tax, which is added at checkout where required. You are responsible for any such taxes other than taxes on our income.
  • Free trial. Teams includes a 14-day free trial with no card required. Unless you cancel before the trial ends, the plan converts to a paid subscription and the first charge applies.
  • Auto-renewal. Subscriptions renew automatically each billing period at the then-current price until cancelled. You can cancel at any time, effective at the end of the current period; see our Refunds & Cancellation Policy for how cancellations, refunds, and EU/UK statutory withdrawal rights work.
  • Price changes. We may change subscription prices on reasonable advance notice; changes take effect at your next renewal, and you may cancel before then if you don’t agree.
  • Non-payment. If a charge fails, we may retry, and we may suspend or downgrade paid features until payment is resolved.

Billing questions: billing@pyor.review. Payment-card data is handled by Stripe; we never receive your full card number.

6. Your content & code

You keep every right to your code. Your source code, diffs, pull requests, commit history, and the review notes you write are yours (or your organisation’s or your licensors’). Nothing in these Terms transfers any ownership of them to us, and we claim no licence of any kind over your code or reviews.

We can make that promise because of how Pyor is built. There is no Pyor-operated server that receives, stores, or indexes your repositories or reviews. The app communicates directly with GitHub from your device, using your own credentials; cached pull-request data and your private review notes live on your machine. In other words, we don’t host your code, and it never reaches us in the first place. What you do with your repositories on GitHub is between you and GitHub.

You are responsible for the content you access and create through the Service and for having the necessary rights and permissions to do so. The limited personal data we do process to run the website, accounts, and billing is described in our Privacy Policy.

7. Third-party services

The Service depends on third parties that you contract with or that we use to operate, and your use of them is subject to their own terms:

  • GitHub. Pyor is a GitHub client and requires a GitHub account. The Service’s core function depends on GitHub’s availability, API, and rate limits, which are outside our control. Your use of GitHub is governed by GitHub’s own terms of service and policies, and you must comply with them. We are not responsible for GitHub’s acts, omissions, outages, or changes to its API.
  • Stripe. Payments for Teams are processed by Stripe, and are subject to Stripe’s terms.

We don’t control third-party services and don’t endorse and aren’t responsible for their content, policies, or practices. Links to third-party sites are provided for convenience only.

8. Privacy

Our Privacy Policy explains the limited personal data we process to run the website, accounts, and billing — and reiterates that your code and GitHub token stay on your machine. By using the Service you acknowledge that processing. Business customers can also sign our Data Processing Agreement.

9. Disclaimers

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements, and — because the Service depends on GitHub — we do not warrant the availability or behaviour of GitHub or any other third party. You are responsible for reviewing your own code; the Service is a tool to assist review, not a substitute for your judgement.

Your statutory rights are preserved. Nothing in this section or these Terms excludes or limits any warranty, guarantee, or right that cannot be excluded or limited under the law that applies to you. In particular, if you are a consumer in the European Union or France, the legal guarantee of conformity and the guarantee against hidden defects (garantie légale de conformité and garantie des vices cachés under the French Code de la consommation and Code civil) continue to apply; and if you are a consumer in Québec, the warranties and protections of the Consumer Protection Act (including the legal warranty of quality and fitness) continue to apply. Where such rules apply, the “as is” disclaimer above applies only to the extent permitted.

10. Limitation of liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, and for any other liability that cannot be excluded or limited under applicable law — including your non-excludable rights as a consumer (for example under EU/French law or the Québec Consumer Protection Act). The limitations below apply only to the extent permitted by the law that applies to you.

Subject to the paragraph above, to the fullest extent permitted by law:

  • we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, however caused and on any theory of liability; and
  • our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US$100.

Because personal use of Pyor is free, your remedy for issues with the free plan is to stop using it. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnity (business & Teams users)

If you use the Service as a business or organisation (including under a Teams plan), you will defend, indemnify, and hold harmless «Registered legal entity name, e.g. Pyor Software SAS / Pyor Software, Inc.» and our officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service in breach of these Terms or the law, (b) your content or your use of GitHub, or (c) your violation of any third party’s rights. This section does not apply to individuals using the Service as consumers, and applies only to the extent permitted by applicable law.

12. Term & termination

These Terms apply for as long as you use the Service. You may stop using the Service at any time, and you can cancel a paid subscription as described in §5 and the Refunds & Cancellation Policy. You can uninstall the app and, if you wish, revoke Pyor’s access in your GitHub settings and delete the GitHub token stored on your device.

We may suspend or terminate your access if you materially breach these Terms or the Acceptable Use Policy, if required by law, or to protect the Service or others — where practicable, with notice and an opportunity to cure. On termination, the licence in §2 ends and you must stop using the Service. Sections that by their nature should survive — including §§2 (ownership), 6, 9, 10, 11, 14, and 15 — survive termination.

13. Changes to these terms

We may update these Terms as the Service or the law evolves. When we do, we’ll change the “Last updated” date above and bump the version. For material changes we’ll give reasonable notice (for example, on the site or by email). Changes are not retroactive. Your continued use of the Service after an update takes effect means you accept the revised Terms, to the extent the law allows; if you don’t agree, stop using the Service and, if applicable, cancel your subscription.

14. Governing law & disputes

Pyor is operated by «Registered legal entity name, e.g. Pyor Software SAS / Pyor Software, Inc.» («Legal form, e.g. SAS / Inc. / Ltd.»). The governing law and the venue or forum for disputes depend on the country in which that entity is registered, and these Terms are governed by the laws of that «registered jurisdiction» — without regard to its conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods.

  • Mandatory local law for consumers. If you use the Service as a consumer, this choice of law does not deprive you of the protection of the mandatory consumer-law provisions of the country where you habitually reside, and you may bring proceedings in the courts your local law makes available to you. Nothing here overrides those mandatory rights.
  • EU online dispute resolution. If you are a consumer in the EU, the European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. We are not obliged to and do not currently commit to resolve disputes through an alternative dispute-resolution body, but you remain free to use it.
  • Canada / Québec. If you reside in Québec, mandatory provisions of the Consumer Protection Act and your right to bring proceedings before the courts of your domicile are preserved regardless of the governing-law clause above.
  • Venue & arbitration. Any agreed forum, venue, or arbitration mechanism depends on the registered jurisdiction of the entity above and any mandatory local law that applies to you; we will identify the specific forum in the finalised «venue / arbitration terms for the registered jurisdiction» once the registered entity is confirmed. Where permitted, the parties will first attempt to resolve disputes informally by contacting legal@pyor.review.

15. Miscellaneous

  • Entire agreement. These Terms, together with the policies they incorporate (Acceptable Use, Privacy, Refunds, and — for business customers — the DPA), are the entire agreement between you and us about the Service and supersede any prior agreements on that subject.
  • Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions stay in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign or transfer these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets; we’ll give notice of any material change.
  • Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages or changes affecting GitHub or other third parties.
  • Notices. We may give you notice by email, through the Service, or on the website. You can reach us using the contact details below; formal legal notices should go to legal@pyor.review.
